Not a counterparty.

This site is a front end to immutable contracts on Robinhood Chain (4663). It holds no funds, takes no custody, has no admin key over a live series and cannot reverse a transaction. Every action you take is a transaction you sign with your own wallet and send to the chain yourself.

Nothing here is investment, legal or tax advice, and nothing is an offer to sell or a solicitation to buy any position or token. Positions can lose their entire value. The risk disclosures are part of these terms.

Stock Tokens are restricted from U.S. persons and other listed jurisdictions by their issuer, and every holder is bound by the issuer's deemed representations. You may use the app only if you are not a U.S. person and are not located in, incorporated in or a resident of United States, United Kingdom, Canada, Switzerland and United Arab Emirates, or any sanctioned jurisdiction.

The app is not served to requests from those regions, and an attestation is asked once per browser before any transaction panel is usable. Using a VPN, proxy or other tool to hide your location is prohibited. Wallet screening may be applied at deposit and bid. You are responsible for confirming that you may hold Stock Tokens and the positions built on them.

Talis operates no exchange, no order book and no matching. The auction is a deterministic contract with no operator discretion: the clock is fixed at open and reserves are set by subscribers. Positions are plain ERC-20s; any pool for them is a third party's.

One fee: 5 % of gross auction proceeds, in USDG, taken by the auction contract. Split, merge and settlement claims are free. Gas is paid to the chain, not to Talis.

Indicative Income and Upside values are a model; the auction sets the price. Prices are the Chainlink feed. Data shown from the indexer carries its block and age; when it lags, it says so.

Stock Tokens, USDG, Chainlink feeds, Uniswap pools, the chain's sequencer and the RPC endpoints are operated by third parties whose actions (pause, freeze, burn, upgrade, filter, outage) Talis cannot prevent. Their own terms apply to you.

Your keys, your transactions, your tax. Check every transaction in your wallet before signing; the interface shows what it will call and cannot change it afterwards. Keep your own records: the chain is public and permanent, and this site keeps none.

The interface and the contracts are provided as they are, without warranty of any kind. The contracts are unaudited until the audit package is closed. The interface may be unavailable; the contracts do not depend on it, and every claim can be made directly.

These terms are versioned and dated above. A change bumps the version, and the attestation is asked again when its wording changes. Governing law and dispute terms are pending counsel review and are not stated here.
